Royce leads our Qatar corporate and commercial practice and has over 15 years of experience advising clients on public and private takeovers and equity capital markets with a broad range of experience in cross border M&A, corporate finance, joint ventures, equity investments, governance and compliance.

Royce has significant capital markets experience including experience in IPO’s, relistings and reverse takeovers. He has experience drafting prospectuses, information memoranda and is familiar with listings and regulatory frameworks for various international jurisdictions. Royce regularly acts for clients listed on stock exchanges and has regularly advised boards on takeovers, listing rules, director's duties and continuous discourse obligations.

Royce has worked and lived across the region including in Saudia Arabia, Oman and Qatar. Prior to joining AG, Royce was a senior associate at Maddocks Law Firm in Australia and an associate at a Magic Circle law firm in the Middle East working on a number of the region's highest profile transactions including acting for international clients on private equity investments, joint ventures and general commercial matters.

Experience

Royce’s experience (including those gained at previous firms) includes advising:

  • Qatar Investment Authority (QIA) on its participation as an anchor investor (i.e., cornerstone investor) in the initial public offering of OQ Gas Networks SAOG (OQGN), subscribing for up to USD 150 million worth of shares in OQGN.
  • QIA on a joint venture with the Oman government to form a fund to invest in a wide range of sectors in Oman.
  • Rakiza Infrastructure Fund on its joint venture with Helios Towers plc which has acquired the passive telecommunications tower infrastructure portfolio owned by Omantel for US$ 495 million.
  • Vision Insurance on its merger with Oman Qatar Insurance Company, a significant merger for the Oman insurance sector between two companies listed on the Muscat Stock Exchange.
  • Bank Muscat on various divestments and acquisitions regionally and internationally.
