Expertise

Maciej is a Polish-qualified lawyer (adwokat) in the Corporate/M&A team. He specialises in corporate and commercial law, with experience in advising clients on M&A transactions, joint ventures, and corporate reorganisations. His professional experience focuses on both Polish and multi-jurisdictional M&A transactions across a variety of business sectors. Maciej is also a member of the firm’s Financial Regulation Group, where he provides day-to-day legal advice to regulated entities such as credit institutions, investment funds, and MiFID investment firms. He also advises on transactions involving these regulated entities.

Maciej’s experience involves advising*:  

• Mirova, an affiliate of Natixis Investment Managers and a leading French asset manager, on its investment in GreenWay, the largest and most advanced EV charging network in the CEE.
• Cerberus Capital Management on its PLN1 billion acquisition of 100% of the shares of VeloBank, a leading global bank in Poland.
• Nexi, the leading PayTech company in Italy, listed on MTA of Borsa Italiana, on Polish law aspects of all-share merger with Nets, the Nordic payment services provider, a transaction valued at €7.8bn.
• ING Bank Śląski on its acquisition of 45% stake in NN Investment Partners TFI (currently Goldman Sachs TFI), the 4th largest asset manager in Poland, and on its acquisition of Paymento Financial (a FinTech company).
• Banca Transilvania: advising on the acquisition from the Polish Getin Holding group of Romanian financial sector entities: Idea Bank, Idea Leasing, Idea Insurance Broker and Idea Investment.
• Polski Fundusz Rozwoju S.A. with respect to the implementation of the “Financial Shield”, the government financial support programme aimed at reducing the economic impact of the COVID-19 pandemic.
• Nrep, a leading Northern European real estate investor on the acquisition of an 80% stake in 7R S.A. one of Poland’s largest logistics developers. Nrep invests approximately €200m into the company.
