Matthew joined Addleshaw Goddard in 2023 and acts for a range of insurers, banks and other financial services sector clients in relation to corporate restructurings and other transactions, including reinsurance and longevity risk transfer. He has advised on some of the most material and complex transactions in these sectors in recent years, including:

  • insurance business transfers (under Part VII of the Financial Services and Markets Act 2000 (FSMA)), for both life and general insurers, including a number of Brexit restructurings
  • banking business transfers under FSMA for a number of UK clearing banks, in England and Wales, Scotland and  including the first such transfer of its kind undertaken in Northern Ireland
  • solvent schemes of arrangement for insurers, in order to restructure policyholder liabilities, including in order to effect the distribution of with-profits inherited estates
  • reinsurance and longevity risk transfer transactions for cedants and reinsurers, including the full range of insurance and company law and regulatory issues relevant to such arrangements
  • legacy insurance issues, particularly in relation to life insurance books and advice on life insurance fund structures, with-profits and Solvency II issues.
