 Jad specializes in corporate and securities matters, in particular initial public offerings and regulatory compliance, as well as sector-specific matters across employment, banking, real estate, energy, healthcare, IT, and retail. Jad regularly advises multinational and domestic clients on corporate, Saudi regulatory, capital markets, customs and products regulatory requirements, labour and employment law.

Jad is a Lebanon law-qualified lawyer. Jad speaks English, Arabic and French with native fluency, and is able to negotiate and draft legal documents in all three languages. 

Experience
  • Advising Saudi Aramco in connection with the secondary public offering by the Government of the Kingdom of Saudi Arabia of US$11.2 billion (excluding the overallotment option) of ordinary shares of Saudi Aramco. The offering was the largest secondary offering in EMEA since 2000 and the largest ECM offering in the Middle East, after Saudi Aramco's IPO in 2019.
  • Advising Dr. Soliman Abdel Kader Fakeeh Hospital Company (Fakeeh Care Group), an integrated healthcare services provider in Saudi Arabia, on its listing on the Main Market of the Saudi Exchange (Tadawul).
  • Advising Morgan Stanley Saudi Arabia And BSF Capital (formerly Saudi Fransi Capital) as joint financial advisors, underwriters and bookrunners on the initial public offering and listing on the Main Market of the Saudi Exchange (Tadawul) of Rasan Information Technology Company, a leading fintech and innovator in Saudi Arabia's insurance industry.
  • Advising Saudi Fransi Capital And J.P. Morgan Saudi Arabia Company as joint financial advisors, joint bookrunners and joint underwriters, Saudi Fransi Capital as lead manager and AlRajhi Capital Company as joint bookrunner and joint underwriter on IPO of Jamjoom Pharmaceuticals Factory Company.
  • Advising Perfect Presentation for Commercial Services Company (2P) in relation to its initial public offering. The task included preparing the legal due diligence report, drafting the prospectus and submission documents, attending drafting sessions with the issuer and financial advisors, and addressing the Capital Markets Authority's (the "CMA") comments on the prospectus.
  • Advising Bindawood Holding Company in relation to its initial public offering. The task included preparing the legal due diligence report, drafting the prospectus and submission documents, attending drafting sessions with the issuer and financial advisors, and addressing the Capital Markets Authority's (the "CMA") comments on the prospectus. The CMA approved Bindawood Holding Company's application in June 2020.
  • Advising  several Companies involved in different business activities in relation to their initial public offering (including Arabian Centres, and SACO).
  • Advising  a wide range of domestic and international corporate clients, by attending shareholders and board meetings and providing legal advice relating to their business operations, contemplated investments and corporate restructuring.
  • Advising  domestic and multinational companies with legal advice in relation to labor, SFDA, SASO, Customs, CITC, data privacy and Anti-commercial Fraud matters.

Venture Capital

  • Advising a leading Saudi bank on its investment in a Saudi technology company, including conducting legal due diligence and advising on the subscription and shareholders’ arrangements, corporate approvals, conditions precedent and completion requirements.
  • Advising a leading Saudi bank on its investment in an artificial intelligence company, including conducting legal due diligence and subsequently reviewing and negotiating the SAFE instrument and preparing an investor side letter.
  • Advising a leading Saudi bank on its proposed investment in an enterprise AI technology group operating across the United States and Jordan, including multi-jurisdictional legal due diligence covering corporate structure and governance, commercial arrangements, intellectual property, AI technologies and model governance, data protection, cybersecurity, employment, regulatory compliance and disputes.
  • Advising a leading Saudi bank on its investment in a regional fintech and corporate spend-management platform, including reviewing and negotiating the principal investment documents and advising on the transaction structure, investor protections and related corporate and regulatory matters.
  • Advising a leading Saudi government-owned utility company on a proposed pre-seed investment in a Saudi water-technology company, including conducting legal due diligence, advising on the legal framework for a proposed pilot and assessing potential investment structures (including SAFE and convertible instruments and the possible establishment of an offshore holding company above the Saudi operating company), and covering governance and investor-protection rights, regulatory considerations and the legal steps and conditions required to implement the proposed investment.
  • Advising a venture capital fund affiliated with a leading Saudi bank on its USD 2 million investment in the Series B funding round of a regional construction-technology procurement platform, alongside a prominent Saudi venture capital investor and other participants, including reviewing and negotiating the Cayman Islands transaction documents (preference shares purchase agreement, investors’ rights agreement, voting agreement and right of first refusal and co-sale agreement) and advising on the Saudi legal aspects of the investment and the group’s Saudi operations.
  • Advising a Saudi debt-crowdfunding fintech company on its Series B funding round and related corporate restructuring, including the migration of the shareholders of its ADGM holding company into the Saudi operating company and the subsequent wind-down of the ADGM entity, reviewing and negotiating the subscription and shareholders’ agreements, advising on the migration of outstanding shareholder and warrant arrangements, coordinating the required ADGM and Saudi corporate approvals and aligning the company’s capitalisation structure with the Series B transaction documents.
