Justyna Tuleja

Expertise

Justyna is a trainee attorney-at-law. She specializes in corporate and capital markets law. Her professional experience includes advising on Polish and international mergers and acquisitions, joint ventures, as well as day-to-day corporate advice. She has been involved in M&A transactions in respect to preparing transaction documentation and conducting due diligence review of private companies and their capital groups. Justyna has also participated in proceedings before the Polish Financial Supervision Authority.

Work highlights include:

• Pegasus Airlines on the €154m acquisition of Czech Airlines and its subsidiary Smartwings.
• Oaktree Capital Management: advising a private equity fund on the sale of its stake in two Polish companies from the financial services sector: ProService Finteco sp. z o.o., a leading provider of financial services and tech solutions to investment funds, banks, and insurance companies; and Investment Funds Depositary Services S.A., a brokerage house providing depositary services for closed-end investment funds to Innova Capital.*
• European Bank for Reconstruction and Development: advising on its €75m investment in R.Power, an independent power producer based in Poland with renewables portfolio in Poland and other European Union markets, including Romania, Germany, Italy, Spain and Portugal.*
• Urban Partners: advising a leading Northern European real estate investor on the acquisition of an 80% stake in 7R S.A. one of Poland’s largest logistics developers. Urban Partners invests approximately €200m into the company.*
• Cornerstone Investment Management: advising a CEE’s leading private equity investment management business on the acquisition of Ecowipes / Hydra Beauty & Clean, a European leader in natural personal hygiene and childcare products.*
• ING Bank Śląski S.A.: advising on indirect acquisition of 100% of shares in Paymento Financial S.A., an IT provider for financial services.*
