Addleshaw Goddard advises Stillwater Equity on the launch of Bedrock Systems Group
Addleshaw Goddard has advised independent sponsor Stillwater Equity LLP on the launch of Bedrock Systems Group, a new platform bringing together specialist technical services businesses that support the performance, efficiency and resilience of the built environment. Bedrock launches with BMSI, Econowise and Oak as its founding businesses, creating a platform operating across building management systems, energy efficiency, and power and HVAC services.
Backed by Stillwater Equity, Bedrock was launched through the simultaneous acquisition of BMSI, Econowise and Oak, creating a platform that will pursue further growth opportunities across the fragmented technical services market. The Group is led by João Pola, Executive Chairman of Bedrock Systems Group and Partner at Stillwater Equity LLP.
Addleshaw Goddard advised Stillwater Equity on all legal aspects of the transaction, including the platform formation, acquisitions and equity funding arrangements underpinning the transaction. The team was led by Nathan Pearce (Partner, Private Equity) and Jan Grüter (Partner, Private Funds), supported by specialists across the firm's private equity, private funds, competition, tax and regulatory practices, including Sarah Randall, Carly Gulliver, Jagdip Gujral, Zoe Fatchen, Gerry Kelly, Ciaran Ferry, Chloe Chiew, Ben Ackroyd and Alexandra Ibbetson.
The transaction builds on Addleshaw Goddard's established relationship with Stillwater Equity, having previously advised on Stillwater's launch and maiden investment in Italian tech-enabled security provider La Patria in 2025. Founded by Paolo Ferrari, Stillwater Equity was established to partner with talented and ambitious entrepreneurs and executives to build strong groups of companies operating in resilient service markets.
