Ola Al Nabhani is an Associate in AG’s corporate and M&A team in Muscat, Oman. She holds a Master of Laws with distinction, is fluent in English and Arabic and is admitted to practice in Oman.

Ola advises on a broad range of corporate, commercial and regulatory matters. Her practice includes advising on mergers and acquisitions, joint ventures, restructurings and general corporate and regulatory advisory, with experience spanning transaction structuring, legal due diligence, drafting and negotiation of transaction documents.

She has worked on a number of high-value and complex transactions in Oman and throughout the Gulf region, including cross-border acquisitions, private equity investments and large-scale joint ventures. Her experience covers multiple sectors, including energy and renewables, manufacturing, education, logistics, hospitality and financial services. She has advised a diverse client base, including multinational corporations, private equity firms, government-related entities and local businesses.

Experience
  • Advised Apollo Global Management on the acquisition of a 50% interest in Vale Oman Distribution Centre in a deal valued at USD 600M and supported the sale of 4.2% of Apollo’s shares to the Social Protection Fund of Oman.
  • Advised TA Associates in its acquisition of 67.5% of Alephya Education, a regional education services provider, particularly with respect to five Oman based schools and for a total consideration of AED 775M.
  • Advised a minority shareholder on the structuring and establishment of a joint venture involved in the solar module manufacturing industry. The project is valued at USD 540M and the deal involved equity contributions as well as a business transfer covering contracts, employees and assets.
  • Advised Al Daud Restaurants LLC on the sale of the McDonalds franchise in Oman, including drafting and negotiation of the SPA and ancillary documents, with a particular focus on the conditions precedent in respect of the transfer of real estate and obtaining third party consents. Managed the deal and coordinated through signing, satisfaction of conditions and closing.
  • Advised MedcoEnergi on its acquisition from OQ Exploration and Production, a 40% participating interest in Block 48 and Block 60 both located onshore in western Oman near the border with Saudi Arabia. The transaction was valued at USD 1.4 billion and involved blocks in an area rich in hydrocarbon reserves.
