Hayley is a Managing Associate in our Manchester Commercial team, having qualified into the team in 2017 after completing her training contract at the firm. She has experience in advising clients on a range of commercial contract, non-contentious intellectual property and advertising and marketing matters.
Her commercial contracts experience includes advising on, drafting and negotiating agreements for the provision of services, reviewing franchise and sponsorship agreements and drafting distribution agreements. She has also provided advice to clients on business to consumer contracts including for the sale of products online.
Hayley is experienced in a range of marketing and advertising matters including: copy clearance (covering both non-broadcast and broadcast media), social influencer contracts, sponsorship agreements, prize draws, prize competitions, offers, vouchers and sales promotion mechanics.
- Regularly advises clients on compliance with The UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code), The UK Code of Broadcast Advertising (BCAP Code) and The Consumer Protection from Unfair Trading Regulations 2008.
- Advised on the intellectual property provisions for services agreements and an event organiser agreement.
- Experienced in carrying out due diligence for share sales, specifically focusing on the areas of business and trading, intellectual property and information technology.
