Thomas is an Associate in the Finance team, based in our Edinburgh office.

He has considerable experience advising lenders and borrowers across a wide range of English and Scots law banking transactions, with a particular focus on energy and infrastructure finance, real estate finance and corporate lending and borrowing, leveraged finance and real estate finance.

Recent examples include:

  • Acting for a multinational renewable energy generation business in respect of GBP 200m facilities to support the acquisition and development of multiple BESS projects.
  • Acting for a syndicate of lenders in the project financing of a 67MW generation capacity onshore wind farm in Scotland.
  • Acting for a renewable energy developer in connection with a corporate reorganisation, involving the provision of consent and the release of security by its project funders.
  • Acting for a lender club in respect of GBP 150m development facilities to support the growth of an institutional investor-backed BTR platform in the PRS market.
  • Acting for a PE fund in connection with the financing elements of its acquisition of a premium holiday park business in Scotland.
  • Acting for a lender in respect of its consent to the merger of two English universities and the re-documentation of an existing term loan facility on LMA terms.

In addition to his extensive experience acting as lead counsel, Thomas routinely acts as local counsel on Scottish, English and cross-border matters across various sectors. He has a particular interest in supporting clients and lead firms from the Nordics and his recent experience includes:

  • Acting for a Norwegian agent and trustee on the Scots law aspects of a USD 60m Oslo-listed secured bond issuance by a Delaware corporation in the drilling services sector.
  • Acting for a Danish lender on the English law aspects of DKK 440m facilities made available to support the acquisition of a leading UK life sciences business.
  • Acting for a Swedish issuer operating in the home-related services sector on the English law aspects of a SEK 1.5bn Stockholm-listed secured bond issuance.
  • Acting for an Icelandic lender on the Scots law aspects of EUR 9m facilities relating to the acquisition of a Scottish aquaculture services business.

Thomas has played a key role as part of the team within the firm that is leading on supporting our clients in their response to the reforms introduced by the Moveable Transactions (Scotland) Act 2023. He continues to represent the firm at the cross-firm Moveable Transaction Working Group.

Thomas also recently completed a secondment to the firm's office in Madrid, working alongside colleagues within the Banking and Finance team.
