Expertise

Vinay is a Managing Associate in Addleshaw Goddard's Corporate Finance team. He regularly advises on a broad range of corporate matters including both public and strategic private mergers and acquisitions, as well as advising both issuers and investment banks on IPOs and secondary fundraisings on AIM and the Main Market of the London Stock Exchange. Vinay also has experience in advising on Takeover Code governed transactions.

Vinay has undertaken a secondment with J.P. Morgan’s mergers and acquisitions team and has also previously been seconded to Entain plc.

Vinay’s transactional experience includes advising:

  • J.P. Morgan on the £2.9 Billion acquisition of Deliveroo by DoorDash
  • Rothermere Continuation on the £3.1bn reorganisation and related takeover of Daily Mail and General Trust plc 
  • Sanne Group plc on its £1.5bn recommended takeover by the Apex Group
  • J.P. Morgan and Bank of America on Petershill Partners’ US$921m capital return
  • Marwyn Acquisition Company II Limited, a Main Market listed SPAC, on its reverse takeover of SIPP provider, InvestAcc Group, and its related £30m placing and subscription of new shares 
  • Canaccord Genuity in connection with its role as nominated adviser, sole bookrunner and sole broker to Vulcan Two Group plc on the proposed acquisitions of CloudRx Holdings Limited, Hyperdrug Pharmaceuticals Ltd and Webmed Pharmacy Ltd, a £40 million placing and readmission of the enlarged share capital to trading on AIM constituting a reverse takeover
  • The City Pub Group PLC on a £162m recommended cash and share takeover by Young & Co.’s Brewery P.L.C.,
  • IMImobile plc on its £543m recommended takeover by Cisco Systems, Inc.
  • A&J Mucklow Group plc on its £415m recommended takeover by LondonMetric Property plc
  • PhillipCapital UK Ltd on its £5.96m recommended takeover of Walker Crips Group plc
  • Houlihan Lokey as financial adviser to Verdane in relation to its £185 million takeover offer of Augmentum Fintech plc
  • Liberum Capital, as nominated adviser and sole bookrunner, on the £120m IPO of SourceBio International plc on the AIM Market
  • Fenchurch Advisory Partners, as financial adviser to James Hay Holdings Limited, on a £145m recommended takeover offer for AIM quoted Nucleus Financial Group plc
  • Raymond James Financial International Limited, as financial adviser to Raymond James UK Wealth Management Holdings Limited, on a £279m recommended takeover offer for Main Market listed Charles Stanley Group plc
  • Haylo Labs on its acquisition of Plessey Semiconductors, the UK’s leading innovator in microLED display technology
  • Miniclip Group on mobile games acquisitions including the purchase of RPG game, Knighthood and the acquisition of Lessmore Games
  • Egmont subsidiary, Nordisk Games on its acquisition of Until Dawn developer, Supermassive Group.
