Dixson is an Associate in the Structured Finance and Securitisation team, with extensive experience advising funds, alternative lenders, financial institutions, issuers and originators on complex, multi-jurisdictional transactions across a wide range of asset classes. Dixson’s practice encompasses securitisations, warehouse financings, back-leverage and loan-on-loan structures, forward flow arrangements, borrowing base facilities and non-performing loan (NPL) portfolio financings.

Prior to joining Addleshaw Goddard, Dixson undertook a secondment as general counsel to a rapidly growing SME specialty lender, where he led negotiations with block funders on Block Discounting Agreements and managed the negotiation and execution of loan documentation.

Experience
  • Advised a NYSE listed company, as originator, on an EU-compliant “STS” trade receivables securitisation involving a US Investment Bank and a European Investment Bank’s commercial paper conduit, with underlying assets originated and located in France, Germany, Ireland, Italy, Singapore, Spain, Switzerland and the UK.
  • Advised a property bridging finance provider, as originator, on a £200 million asset-backed warehouse facility private securitisation, comprising both FCA regulated and unregulated loans.
  • Advised Penrith Building Society on its forward flow arrangement with Imagine Mortgages Limited (trading as Generation Home) in respect of first ranking, owner-occupied residential mortgages.
