Addleshaw Goddard advises Mbanq on launch of US$100 million funding programme and inaugural investment
Mbanq, a U.S.-based provider of banking infrastructure and embedded finance technology, has received its inaugural investment from a Swiss private bank through its newly established institutional funding programme.
Addleshaw Goddard acted as legal counsel to Mbanq. Founded in 2016, Mbanq provides core banking technology, Banking-as-a-Service, Lending-as-a-Service, Compliance-as-a-Service, payments, card issuing and embedded finance infrastructure to banks, credit unions, fintechs and enterprises worldwide.
The investment supports the continued expansion of Mbanq's lending and Earned Wage Access platform, a key growth area of the business. The funding programme is structured through U.S. dollar-denominated loan participation notes admitted to trading on the Open Market (Freiverkehr) of the Düsseldorf Stock Exchange. The programme has an aggregate capacity of up to US$100 million.
The Addleshaw Goddard team was led by Partner Nadine Bourgeois and Counsel Nikolos Tsagareli (both Finance, Frankfurt).
Notes are issued by Encore Issuances S.A., while Barons Capital Partners S.A. acted as adviser on the transaction.
