Law firm Addleshaw Goddard has advised Whitfield Chemical Group Limited on its sale to Belgium-based speciality chemical suppliers Azelis.
The deal saw AG advise the shareholders of Whitfield, the ultimate parent company of WhitChem, a well-regarded distributor of chemicals, minerals and polymers based in Newcastle-under-Lyme. Our team advised the sellers on all aspects of the transaction, including corporate, commercial, tax, employment, property and environmental elements.
Azelis is a leading global innovation service provider in the specialty chemicals and food ingredients industry and the acquisition reinforces its position in the UK. The management of WhitChem, which employs 30 staff, will stay and support the integration into Azelis and remain committed to growing the business and further strengthening Azelis’ CASE (coatings, adhesives, sealants and elastomers) and R&PA (rubber & plastic additives) team in the UK.
AG's corporate finance team advising on the deal was led by Richard Hunt and Victoria Kierans, supported by Cameron Allwood, Katie Baxter and Harrison Easley.
Victoria Kierans said: "The industrial chemicals segment is a growing market and this transaction had real synergies for both sides. It was great to be involved in a cross-border deal such as this that will allow the WhitChem offering to flourish as part of the Azelis group and bring even greater innovation to the market."
