Disputes

We have extensive experience in managing a range of disputes across Africa and a reputation for innovative funding solutions which has enabled our clients to bring claims and obtain just outcomes. Our recent work has ranged from acting on investor state to commercial international arbitrations and acting as international counsel in claims before a range of national courts. We advise lenders, sponsors and borrowers (including ECAs and sovereign wealth funds) on various types of finance and project development transactions across Africa, both in the Shari’a compliant and conventional finance space. Our regulatory knowledge has helped fintechs, predominantly in the payments field, enter various African markets and we're well placed to support investments in a wide range of sectors. 

We offer expertise in structured trade and commodity financing across Africa – facilitating DFIs and World Bank/IFC guarantees, co-financing and risk-sharing arrangements as well as disputes.

Additionally, we have represented various African banks obtaining funding lines and capital as well as nation states on sovereign debt mandates across Africa.

Mergers and acquisitions

We advise DFIs, sovereign wealth funds, strategic and private equity investors on all their investment activity on the continent, from acquiring a business in a new African market, delivering a pan-regional transformational M&A, to delivering a country exit. Anticipating where risks might arise and deploying culturally attuned solutions is how we help our clients succeed.

Retail and consumer

The increasing consumption of goods and services across Africa has made a significant contribution to the continent's economic growth. Many of our lawyers have worked in-house with clients who operate on the continent so have a deep understanding of day-to-day operational challenges and can provide solutions to meet consumer demand.

Risk and compliance

Our specialist Global Investigations practice is recommended in every major legal directory, with a wealth of insight including former prosecutors and regulators. Our African experience includes advising on allegations of corruption relating to an oil and gas business, representing a manufacturing business responding to a Commission of Inquiry into allegations of illegality and advising on an Africa-based carbon credit scheme facing allegations of misleading the market and failing to properly remunerate local communities.

Unitel S.A.

Acting for Unitel, Angola's largest telecommunications company, in its £580m claim in the English Commercial Court against Isabel dos Santos. 


Diageo

Advising Diageo on the sale of its 54.4% shareholding in Seychelles Breweries Limited to Phoenix Beverages, a subsidiary of Mauritius-based IBL Group. 


Libya NOC

Representing the Libyan National Oil Corporation in an arbitration against an Indonesian investor about the development of an oil field, with a value of over US$900m. The case involved satellite proceedings in the Paris Courts, where we successfully defeated an application for injunctive relief.  


Banque Misr

We acted for Banque Misr on a US$200m financing for Telecom Egypt S.A.E. for the rights to operate the 5G telecom network in Egypt. 


Finlays

We advised on the sale of James Finlay Kenya tea estates to Browns Investments, including an agreement to sell 15% of shares to a local co-operative.


Crane/British International Investment

Acting for BII, the development finance institution of the UK government, and a former director defending a fraud claim (valued at >US$200m) in the English Commercial Court brought by Crane Bank Limited (a Ugandan Bank) and several of its former shareholders.


Berkeley Energy 

We advised on investments into the Corbetti Geothermal Project in Ethiopia, a biomass project in Ghana, a hydropower project in Uganda and a solar PV Company in Kenya and Ghana.


Gridworks

We advised on the restructuring of its equity investment into Mettle Solar in South Africa and on certain aspects of its investment into Anzana Electric (formerly Virunga Power) relating to hydropower projects in Burundi.


DP World

We adviised on the US$900 million acquisition of Imperial Logistics, an integrated logistics and market access solutions provider, with operations in Africa and Europe.


An Ethiopian hotel developer

We successfully advised an Ethiopian company in an ICC London seated arbitration for damages in excess of $25m, arising out of a hotel construction project.


TDB/Robust International Inc

We advised on a structured commodity trade finance deal for a Singaporean borrower (with subsidiaries in Ghana, Tanzania and Mozambique) on a US$17m revolving facility for agri-products.


BII, Norfund and Swedfund

We acted for BII, Norfund and Swedfund on their co-investment equity financing of AgDevCo and on BII's acquisition of hydropower projects in Sub-Saharan Africa
