Expertise
Alistair is an experienced finance lawyer specialising in corporate lending and borrowing. He advises borrowers, issuers, underwriters and investors on a broad range of international and domestic debt transactions, from capital markets offerings to bank lending facilities, and spanning the credit spectrum from investment grade to cross-over credit and leveraged/high yield deals. His transactional experience includes listed bond offerings, MTN programmes, US private placements, securitisation, regulatory and hybrid capital structures, liability management exercises, and bilateral and syndicated term and revolving credit / working capital facilities.
Alistair joined AG in 2025 from another leading international firm and prior to that he trained and then practiced for five years at a Magic Circle firm.
Alistair’s experience includes:
- Advising the global coordinators and initial purchasers on a €350m offering of Dublin-listed senior secured bonds by a UK energy group *
- Advising a FTSE100 retailer as issuer on the establishment of a new London-listed £3bn Reg S EMTN programme and its inaugural £300m drawdown thereunder *
- Advising a GCC bank as issuer on its London-listed US$3bn EMTN programme and drawdowns thereunder *
- Advising the joint lead managers on a Dublin-listed US$5bn GMTN programme for a GCC corporation and US$1.5bn in Reg S/R144A drawdowns thereunder *
- Advising a Chinese aluminium producer on transactions including its Singapore-listed US$330m 7.05% senior notes due 2028 and US$300m convertible bonds due 2023 *
- Advising a leading FTSE250 UK services provider as issuer/borrower under (a) a multi-tranche secured US private placement and (b) its bank lending facilities *
- Advising a leading water utility group in connection with its London-listed £7bn EMTN programme and benchmark issuances thereunder *
- Advising several FTSE-250 companies in connection with accessing the Bank of England’s Covid Corporate Financing Facility (CCFF) programme *
- Advising a leading airline group in connection with a senior unsecured bond issuance and tender offer for convertible bonds *
- Advising a UK insurer as issuer in connection with its £350m London-listed T2 securities *
- Advising a leading international bank in connection with several successful consent solicitation and tender offer processes in relation to its London-listed AT1 securities *
- Advising UK Asset Resolution in connection with the final sale of legacy mortgage portfolios of Northern Rock and Bradford & Bingley back into private ownership *
