Expertise

Sandeep is head of Addleshaw Goddard’s finance practice in the Middle East and has been based in Dubai since 2003. He has extensive experience advising on all aspects of conventional and Shari’a compliant financing matters across the Middle East, including leveraged finance, real estate finance, private credit, trade finance, export finance, sovereign lending, sustainable finance and capital markets (including sukuk). 

In addition to his experience in the Middle East, Sandeep also has significant experience working on financing transactions in Turkey and Africa and is part of the Firm’s core focus groups for both jurisdictions.

  • Acted for the European Bank of Reconstruction and Development and Banque Misr S.A.E. on their USD and Euro term loan facilities for Orange Egypt for Telecommunications S.A.E. to finance the acquisition and use of a 5G telecommunications licence in Egypt.
  • Acted for Banque Misr S.A.E., Dubai Branch on a USD 200 million term loan facility for Telecom Egypt S.A.E., financing capital and operating expenditure and refinancing existing overdraft and short‑term facilities.
  • Advised Wasl LLC on a AED 3bn real estate refinancing in the Emirate of Dubai.
  • Acted as international legal counsel to the Government of Egypt on its USD 3 billion conventional and Islamic sustainable financing in 2021 and a USD 2 billion conventional and Islamic financing carried out in 2020.
  • Acted for Empower on an AED 2.75 billion multi‑sourced Islamic and conventional revolving facilities transaction with Emirates NBD Bank PJSC, involving an AAOIFI‑compliant commodity Murabaha structure.
  • Advised Emirates NBD on a AED 2 billion syndicated secured financing for DIFC Investments for the construction of two commercial towers in DIFC, Dubai.
  • Acted for a syndicate of leading regional financial institutions on a dual‑tranche conventional and Islamic financing for United Arab Bank PJSC.
  • Acted for UAE conglomerate Al Yousuf LLC on a AED 1 billion Shari’a compliant refinancing from a syndicate of UAE banks led by Mashreqbank PSC.
  • Acted for Azizi Developments LLC on a USD 100 million structured real estate financing from Cerberus Capital Management.
  • Acted for the Five Hospitality group on a AED 720 million acquisition financing for the purchase of a five-star hotel in Dubai, UAE.
  • Advised Gulf International Bank on a USD 240 million acquisition financing to Noon for the acquisition of Namshi, a UAE fashion portal.
  • Acted for Mashreqbank PSC on a USD 125 million financing of the Future Pipe Group.
  • Acted for Ruya Partners, a private credit fund on a Shari’a compliant financing for the Epik food and beverage group to support strategic acquisitions.
  • Acted for First Abu Dhabi Bank PJSC as lender on a USD 300 million subscription line and revolving credit facilities for OneIM Fund I LP.
  • Acted for Gulf Capital on a dividend recapitalisation facility provided by HSBC Bank Middle East Limited.
  • Acted for Standard Chartered Bank on an ECA backed negotiable instrument discounting facility for the construction of a major hotel development in Dubai, UAE.
  • Advised Elsewedy Electric on an acquisition financing from HSBC for the acquisition of a majority stake in an Indonesian corporate.
  • Advised Standard Chartered Bank on an ECA (Hermes) backed financing for a Qatari conglomerate.
