Our client Surpass, active in software licensing, test / online assessment services, remote invigilation services and bespoke software development, transitioned away from maintaining an in-house legal team in April 2025. They were looking for a more strategic, agile and commercially focused approach to how their legal matters were managed.
Introduction
AG Integrate introduced our “GC on Demand” service which involves a senior lawyer with a generalist, in-house legal skill set taking on a part-time, interim or projectbased leadership role. This ‘fractional’ piece could be split in many ways; in time, in area of responsibility or in a project nature (e.g. helping through a legal out/in sourcing project, an IPO etc). A Fractional GC tends to take on the full breadth of legal responsibilities and truly partner with the client’s business, adapting to their evolving needs.
Without an in-house legal team, the client could have been exposed to possible business and contractual risk, particularly regarding the high value agreements requiring review across both the UK and the US. At the same time, they were preparing to launch a new AI-based service, which added further urgency and complexity. They needed specialist legal expertise to assess and strengthen the contractual terms to ensure the business was fully protected.
What happened
AG Integrate provided a dual qualified (UK / USA) Fractional GC - a senior lawyer with broad in-house experience - who integrated seamlessly into the client’s senior leadership team thanks to their pragmatic but also strategic approach and commercial acumen. This role was structured to deliver interim leadership, flexing across time and responsibilities to meet the client’s priorities. The engagement was underpinned by our rigorous consultant vetting process and monthly check-ins with the consultant / AG Client Relationship Partner and client, ensuring alignment with the client’s requirements.
The outcome
The client benefited from access to top-tier legal expertise without the overhead of an in-house legal team. Beyond compliance, the GC also offered proactive, commercially focused advice that strengthened the client’s decision-making and gave them a competitive edge. Client terms, for example, now get reviewed and signed within a month, whilst historically this took up ca.3-6 months. The fractional GC adapted to shifting priorities, supporting critical projects (new government bids), aligning the UK and US business units and mitigating legal risks during periods of change through the creation of a contract playbook / templates.
