Introduction
Our client, a leading financial wellbeing provider, offering financial products and services to employees through employer partnerships, experienced a surge in complex structured finance transactions and needed urgent interim legal support. With a small in-house team and a demanding pipeline of deals, the business required a Structured Finance Lawyer who could quickly step in on a full-time, hybrid basis, manage high-value, business-critical work with minimal supervision, and ensure continuity within the legal function. The engagement was overseen by the client’s General Counsel, who, already familiar with AG Integrate’s flexible legal staffing model, turned to us to source a consultant with deep structured finance and securitisation expertise, capable of operating at pace during a pivotal period for the business.
What happened
Drawing on its network, AG Integrate identified and appointed an experienced transactional lawyer with a strong track record in structured finance and securitisation. The Consultant integrated quickly into the client’s legal team, taking responsibility for both BAU work and major transactions, and rapidly becoming a core part of the function.
The most demanding aspect of the assignment was a flagship structured finance transaction involving nine law firms, including two foreign counsels, highlighting both the scale and cross-border complexity of the deal. The Consultant worked together with the GC to drive the transaction forward, managing and aligning input from multiple external counsel, progressing documentation and negotiations at pace, and identifying and addressing legal risks in a pragmatic, solutions-focused way. They ensured that internal stakeholders were kept informed and reassured throughout, maintaining momentum despite tight timelines and competing demands. The intensity of the transaction required significant personal commitment. The Consultant often put in long hours and managed a challenging commute to ensure deadlines were met and the legal team remained fully supported. Their resilience, professionalism and focus on delivery enabled the client to navigate this critical period with confidence.
The outcome
The Consultant’s contribution was pivotal to the successful completion of the major transaction, which secured substantial financing for the client and represented a key milestone in the company’s growth and ongoing stability. Their expertise, dedication and collaborative approach were recognised at all levels of the organisation, with extremely positive feedback from both the legal team and senior management. Notably, the CEO and CSO commented that the Consultant had worked tirelessly and that the transaction would not have proceeded without their efforts, underlining the critical nature of their role in the deal’s success.
The success of this assignment demonstrates AG Integrate’s ability to rapidly deploy specialist structured finance and securitisation expertise, providing immediate, hands-on support for complex, cross-border and business-critical transactions. By delivering the right consultant at the right time, AG Integrate enabled the client to manage complexity, maintain pace and complete a strategically important financing transaction, while safeguarding day-to-day operations.
