His clients include regional and international investors, private equity and venture capital firms, family offices, corporations, and sovereign wealth funds. Philip has advised on deals globally and throughout the Middle East, in a range of sectors, including healthcare, technology, and energy.  Philip is ranked by both Legal500 and Chambers & Partners for M&A/Corporate.

Philip also has a market leading practice in investment funds and management, particularly in the private equity, venture capital and real estate sectors. In this space he also advises on general investment management matters such as fund investments, fund governance and regulatory matters, and is one of only six “Leading Individuals” ranked by Legal500 in the Middle East region.

M&A / Private Equity

  • Advised Alameda Healthcare Group, a leading Egyptian healthcare provider, on a minority investment of c USD 190 million led by London-based private equity firm Development Partners International LLP and its co-investors.
  • Advised ADQ on its Series C investment in Bayzat.*
  • Advised Alameda Group on its merger with Emirates Hospital Group and proposed combination with Cleopatra Hospitals Group.*
  • Advised Amanat Holdings on its USD 232 million acquisition of Cambridge Medical and Rehabilitation Centre and AED 350 million disposal of its investment in Taaleem Schools.*
  • Advised Blue Water Energy in connection with the secondary buy-out of BGF in ROVOP.*
  • Advised certain sellers in the USD 3.1 billion acquisition by Uber of Careem.*
  • Advised Global Market Access on its USD 20 million financing from IFC and SBI.*
  • Advised Global Petro Storage on the acquisitions of SRS Middle East FZE on its corporate reorganization.*
  • Advised Malabar Gold & Diamond on its corporate restructuring, redomiciliation and private listing on Nasdaq Dubai.*

  • Advised a leading DIFC-based private equity group on the structuring, formation and launch of a USD 250 million growth fund.
  • Advised a number of Middle East Sovereign Wealth Funds on their investments into regional and global investment funds.
  • Advised Aramis Partners in the structuring, documentation and formation of two single asset private equity investment funds for investment in UAE education and healthcare assets.*
  • Advised ARP Global Capital in the structuring, documentation and formation of a multi-opportunistic open-ended fund domiciled in the Cayman Islands with a first close of over USD 100 million.*
  • Advised Frontier Investment Management Partners in the structuring, documentation and formation of numerous investment funds and platforms, including an early-stage technology investment private equity fund, a close-ended real estate fund structured as a corporate investment platform, and a single-asset investment platform investing in a greenfield student accommodation project.*
  • Advised GFH Capital in the structuring and documentation of a single-asset investment platform to acquire a USD 125 million industrial real estate portfolio in the United States.*
  • Advised NBK Capital in the structuring, documentation and formation of NBK Capital Partners Mezzanine Fund II LP.*
