Baudouin experience includes:

• Partial secondment to a French CAC 40 company’s legal department to assist with the creation and implementation of internal legal processes relating to the drafting, negotiation and follow-up of commercial contracts (ongoing)
• Advised a French defence group on the divestment of a substantial part of its business
• Advised a French medical start-up on financing
• Advised a manufacturer in the nuclear industry on commercial contract matters
• Advised a German investor on several acquisition, turnaround and carve-out projects in France from major French and foreign industrial players
• Participated in the Sapin II anti-corruption auditing of a major French company in the context of a CJIP for the French anti-corruption agency
• Drafting and negotiating various corporate M&A legal documents in English and French: SPAs, BTAs, shareholders’ agreements, Articles of Association and corporate minutes, due diligence report
• Setting up and follow-up of virtual data rooms, conducting corporate and commercial due diligence (both vendor and purchaser), participating in negotiation meetings
• Providing legal advice on all business set ups/ business matter
• Advice on various commercial matters, in particular the drafting and negotiation of commercial contracts in the aero, defence and nuclear industries
