Infrastructure, Project and Energy
- Represented Dubai Electricity and Water Authority (DEWA) in the Al Qusais Landfill Gas Power Generation Procurement Project. The mandate included reviewing the project agreements and tendering documents, including but not limited to, the energy conversion agreement, shareholders agreement, and instructions to bidders.
- Assisted the European Bank for Reconstruction and Development and the Ministry of Energy and Mineral Resources of Jordan in conducting legal and regulatory review of the laws and regulations governing green hydrogen and mapping the relevant government stakeholders.
- Assisted a solar plant developer with developing bilingual Arabic and English documentation comprising a cover note explaining the structure and operation of power purchase agreements, including the respective obligations of developer and consumer and the associated risks, and a term sheet for execution before the main power purchase agreement and land use agreement.
- Advised the Office of the Attorney General of Zambia on the review of the country's PPP legal and regulatory framework, including identifying legislative gaps, recommending reforms and developing a practical PPP manual, toolkit and guidance materials for government stakeholders. The mandate also included capacity-building workshops for public sector officials.
- Advised the Electricity Supply Corporation of Malawi on a comprehensive review of the country's portfolio of operational power purchase agreements across solar, wind and hydropower projects. The work included legal and regulatory analysis, risk assessment and the development of practical recommendations and risk matrices to support future project implementation and risk management. The mandate also included capacity-building workshops for public sector officials.
- Advised the Ministry of Labour and Home Affairs of Botswana on the reviewing the PPP framework, identifying legislative gaps, recommending reforms, identifying the procurement options for a new digital identity programme, and setting out the relevant PPP procurement map for tendering the project.
- Advised a government entity on the allocation requirements for government-owned properties required as part of a PPP project. The mandate included advising on the land rights available, such as lease, right to use, and usufruct.
- Advised a healthcare service provider on the contractual structure options and associated risks for the construction and operation of a facility where medical equipment will be installed and operated.
Regulatory
- Drafted more than (15) licensing regulations and permits controls of the key ports services for a maritime sector regulator in the Middle East region. *
- Supported a government entity in the Middle East region in the drafting of two legal instruments required for the implementation of an E-Invoicing framework.*
- Supported in conducting legal analysis and benchmarking study and reviewing of a public procurement framework for a Ministry of Finance in the Middle East region. Work included the development of the procurement documents' templates such as RFPs and RFQs as well as the relevant procurement contracts' templates.*
- Advised a government entity in the Middle East region on the legal requirements for restructuring government revenues.*
- Advised an international financial centre in the Middle East region on the development of a Digital Assets framework.*
- Advised a government entity in the Middle East region on the legal implementation of a public investment management framework.*
- Supported a government entity in the Middle East region in the identification of the conflicts and alignment between a new fiscal policy and the existing laws and regulations.*
- Defined the legal baseline governing the various fintech business models e.g., Blockchain, Digital Assets, BNPL, Robo-Advisory, Payments, Open Banking, etc and supported in designing the guiding principles of a new fintech legislation in a GCC country.*
- Supported various government entities in the Middle East region in conducting legal current state assessments to introduce new laws and regulations.*
- Advised digital assets service providers on licensing and regulatory requirements in the mainland UAE, DIFC and ADGM.*
- Advised foreign and domestic fintechs and financial institutions on establishment, licensing and other legal and regulatory requirements in the UAE, Saudi Arabia, and Qatar.*
