Pensions Law

Imi has wide ranging pension law experience. She advises both trustees and corporate clients on all pension aspects of managing their trust-based DB and DC schemes including corporate and bulk-annuity transactions, reorganisations, benefit redesign and liability management projects. She is also experienced in advising on pensions litigation including internal dispute resolution procedures, Pension Ombudsman complaints and representative actions at the High Court.

Recent experience includes advising:

  • Associated British Foods Plc on the pension aspect of multiple corporate transactions including a £48m acquisition;
  • ASDA on the pension aspect of a £2.2bn acquisition of Euro Garages (Jersey) Limited;
  • Advising LGPS pooled funds on investments into funds including infrastructure funds, private credit and private debt funds;
  • on a number of de-risking projects providing a full legal service including preparing the benefit specification for initial approach to market and agreeing contractual terms with insurer in relation to buy-ins and buy-outs; 
  • the trustees of a defined benefit scheme on the validity of scheme closure and effective equalisation dates; and
  • the employer on the transition from a final salary to defined contribution scheme ensuring changes are accurately documented and clearly communicated to members.

Investment Law

She also has experience of advising pension funds and other institutional investors on all aspects of investment law. She advises on the terms of investment management agreements, custody agreements, ISDAs and fiduciary management agreements. She regularly advises on funds domiciled in the British Virgin Islands, Cayman Islands, Delaware, France, Guernsey, Ireland, Jersey, Luxembourg, Sweden and Scotland.

Her recent experience includes advising a number of institutional investors and financial institutions on the following investments: 

  • a private equity fund structured as a Luxembourg special limited partnership;
  • a private equity fund structured as a Scottish limited partnership established to co-invest alongside the main fund; 
  • a private equity fund structured as a Delaware limited partnership to co-invest in a particular asset; and
  • reviewing and advising on a number of discretionary investment management agreements.
