Ciaran is an Associate in our Finance & Projects Group, specialising in non-contentious transactional finance work.

Ciaran has a particular focus on social, sustainable and green finance and the social housing finance sector, and has played integral roles on some of the most significant, dynamic and innovative transactions in this sector since qualifying into the team.

Experience

Recent transactions include:

  • advising numerous lenders on all aspects of the following mergers (involving (i) advice to lenders and private placement investors on all aspects of the mergers including all required consents, variations and restatements of the lenders' existing facilities with the merging entities and (ii) project managing the multiple workstreams simultaneously to ensure the mergers occur within prescribed regulatory timeframes):

£11bn merger of Peabody and Catalyst, including advising in relation to the restatement and consolidation of Peabody's and Catalyst's existing security trust arrangements;

merger of Abri and Silva;

merger of the Guinness Partnership and Shepherds Bush (in addition to simultaneously advising on discrete new facilities to the Guinness Partnership);

merger of Origin Housing and Places for People;

merger of Inquilab and Westway; and

merger of Cottsway and Cirencester;

  • advising a broad range of lenders in respect of Metropolitan Housing Trust's programme of fire safety and building safety remediation works, being one of the sector's biggest on-going programme of works for fire safety and building safety programmes this year;
  • advising M&G as security trustee on all finance aspects of the following large-scale (re)financings and group restructures, in each case with multiple facilities across multiple lenders:

Jigsaw Group refinancing;

Stonewater Group refinancing;

Riverside Group refinancing; and

merger of Southern and Optivo;

  • advising multiple lenders on the restatement and refinancing of new and restated loan facilities to Paragon Asra as part its multi-lender group refinancing; 
  • advising on the recent Sovereign/Network merger, including (i) consents required in respect of the merger, (ii) restatement and refinancing of loan facilities to the Sovereign Group and (iii) negotiating SNG's intra-group funding documentation; and
  • advising funders on various 'sustainability-linked' loan transactions (including drafting KPIs and SPTs where required)
