Further Changes to Irish Company Law

The Department of Enterprise, Trade and Employment published the General Scheme of the Companies (Corporate Governance, Enforcement and Regulatory Provisions) Bill 2024 (the Scheme) on 15 March 2023.  Here are some the main changes proposed. 

Company Seal
General Meeting held Virtually
Proxies
Small Company Audit Exemption
Domestic Mergers
Involuntary Strike Off
Summary Approval Procedure
Enhanced Information Sharing Powers
Privileged Information
New Criminal Offences of Obstruction and Intimidation

Other amendments in areas such as corporate insolvency and the regulation of receivers are also proposed. The Scheme will now progress to drafting stages for a bill.
