Nadia is an expert in advising international and national financiers, hotel owners, investors, franchisors, operators and lenders on hotel management agreements, franchise agreements, referral systems and joint ventures.

Nadia joined Addleshaw Goddard in January 2017 after spending 6 years in-house at Hilton Worldwide working on retention of their pipeline and trading managed and franchised hotels and branded residential developments throughout Europe and Africa. Nadia drafted and negotiated renewal franchise and management agreements for existing owners, some of which includes complex branded residential schemes; drafted and negotiated complex amendments for franchise and management agreements; drafted a variety of commercial documents, such as non-disclosure agreements; powers of attorney, deeds of novation, assignment and guarantees; voluntary termination agreements; spa agreements; licensing agreements; IP consent letters, default and termination notices; notices warning of the implementation of interim remedies. She also dealt with owner re-structuring such as the implementation of OpCo PropCos; re-structuring pipeline deals to carve out bar areas for owners who did not want any dealing with alcohol; dealt with owner financings and re-financings (including the termination of non-disturbance agreements, the negotiation of non-disturbance agreements and lender comfort letters).

She worked closely with the senior leadership team at Hilton to assess and advise on Hilton’s legal and commercial options to retain pipeline and trading hotels on a variety of issues affecting the relationship with Hilton’s owners and franchisees such as non-payment of fees, accusations of Hilton’s purported mismanagement and purported breaches of contract.

Prior to this, Nadia worked for Clifford Chance's Dubai office representing owners and operators against international operators and franchisors such as Starwood, Marriot and IHG throughout the Middle East and Asia Pacific. She also represented Jumeirah throughout the Middle East and Asia Pacific. Nadia worked on some of the region's most prominent real estate finance transactions and developments, such as development of Aldar's development of Al Raha Beach; Nakheel's development of The Palm Jumeirah; the multibillion dollar securitisation of the Jebel Ali Free Zone and the securitisation of The Pearl, Qatar, by United Development Corporation. Nadia also advised a fund on its proposed joint venture for a multibillion dollar mixed use scheme in Dubailand, with a U.S. theme park operator and a fund on its proposed joint venture with a Dubai government subsidiary for the roll out of an international budget hotel brand throughout the Middle East.

Prior to joining Clifford Chance, Nadia spent 3 years with Nabarro in their London office, focusing on a mix of management, development and investment work for a range of funds and institutional landlords.
