Monita Barghachie is a Managing Associate in our corporate team in Doha, Qatar. Monita has over ten years of experience in acting on corporate and commercial transactions and providing counsel to international and local clients on domestic private M&A, corporate compliance and governance, corporate establishment and joint ventures, franchising and agencies, restructuring and reorganisation. Monita also specialises in matters relating to companies' law, commerce law, civil law, civil and commercial procedures law, penal law, rent law, real estate law, labour and pensions laws. Her industry focus includes education, engineering, oilfield services, healthcare and hospitality sectors.

  • Advising on an off-market sale of shares of a public joint stock company;

  • Advising on legal due diligence for domestic and cross-borders M&As, including on a Legal due diligence for a leading regional oilfield services companies in the Gulf (with focus on the Qatar operations of the target) in relation to the acquisition of the target by a NASDAQ listed company;
  • Advising insurance, insurance brokers and loss adjusting companies on corporate governance and restructuring;
  • Advising the Ministry of Transport and Communications on the development of a Trustmark Framework for Qatar e-commerce;
  • Advising the Ministry of Municipality and Environment on the development of a planning legislation;
  • Advising the Supreme Council of Health (currently the Ministry of Public Health) on legislative and regulatory framework for Qatar National E-Health and Data Program; 
  • Advising the National Health Insurance Company on various matters relating to the implementation of the national health insurance scheme; 
  • Advising the Qatar National Food Security Program on (i) development of legislations relating to healthcare, environment, and freedom of information; (ii) restructuring of a ministry, preparation of a 'white paper' for the relevant stakeholders and drafting related legislative documents; and (iii) establishing a task force to enhance youth leadership skills under the directions the Office of the Heir Apparent; 
  • Advising Al Rayyan Project Management (formerly Al Rayyan Hospitality) on various aspects of the development, rebranding, management and operation of their hotels in Qatar and the UK.  The hotel chain includes the Souq Waqif Boutique Hotels and the Banana Island Resort in Qatar, the Adria in London;
  • Drafting and negotiating the hotel management and marketing agreements for a new resort in Qatar for Al Rayyan Project Management (formerly Al Rayyan Hospitality);
  • Advising a high profile wholly owned Qatari (family) holding company on corporate governance, contracts, investments and operations matters;
  • Advising a prominent wholly owned Qatari (family) holding company on local and international contracts including commercial agency and franchise, establishment of a British branded school in Qatar, investment in healthcare, and corporate governance matters;
  • Advising multiple international investors and group of companies on investment and setting up business in Qatar in different fields, including hospitality, education, engineering and architecture, and healthcare sectors, oilfield services and contracting; registration of companies, branches and representative trade offices; and agency and franchise structures;
  • Advising a market leading Qatari construction company on their capital restructuring;
  • Advising several domestic companies on recapitalization and mitigation of capital loss;
  • Advising a joint venture of two large international corporations (main contractor) on a public facility contract with the Qatari government and on the derived subcontracts with subcontractors;
  • Advising Ferrovial Servicios S.A, an international contracting and facilities management corporation, on their facilities management contracts, and derived subcontracts in relation to the Hamad International Airport;
  • Advising international, local and governmental companies on corporate governance and compliance matters;
  • Advising local and international companies on various aspects of Qatari law including civil, commercial, rent, employment, immigration, pension and retirement, and penal laws;
  • Acting for a local bank on the establishment of a series of Shariah-compliant investment funds to invest in local, regional and international markets projects;
  • Working on project financing transactions involving mortgaging of built and non-developed properties;
  • Drafting lease agreements for office towers in Doha, and multiple residential and commercial lease agreements;
  • Advising several companies on the merits of their claims under Qatar law;
  • Advising Black Cat Engineering and Construction WLL on their contracts and derived disputes before Qatar Courts;
  • Advising a joint venture of two large international corporations on the disputes relating to the performance of their contract on the Hamad International Airport development;
  • Advising an international construction group on a multimillion dollar litigation pertaining to construction of a principal highway in Qatar;
  • Advising an international investment company on the recovery of debts; and
  • Drafting and negotiating settlement agreements.
